Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TogoPlato platform (togoplato.com), operated by Tula Web Design LLC ("we," "our," or "us"). By creating an account or placing an order on any restaurant powered by TogoPlato, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Platform Description

TogoPlato is a Software-as-a-Service (SaaS) platform that enables independent restaurants and restaurant groups to build an online menu, receive customer orders, and manage order fulfillment. Each participating restaurant operates its own branded subdomain. Tula Web Design LLC provides the technology platform only — we are not a restaurant, food service provider, or party to any transaction between a customer and a restaurant owner.

2. Account Eligibility

  • You must be at least 18 years old to create an account as a restaurant owner or customer.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must provide accurate and complete information when creating your account and keep it up to date.
  • You may not create an account on behalf of another person without authorization.
  • One person or entity may not maintain more than one customer account for fraudulent purposes.

3. Restaurant Owner Terms

By signing up as a restaurant owner, you agree that:

  • You are legally authorized to operate the restaurant business you register on the platform.
  • You are solely responsible for the accuracy of your menu, pricing, operating hours, and all information displayed on your restaurant's page.
  • You are solely responsible for accepting, fulfilling, or canceling customer orders in a timely and accurate manner.
  • You will comply with all applicable food safety laws, health regulations, and business licensing requirements in your jurisdiction.
  • You will honor the refund and cancellation policies you establish and display to customers.
  • You will not list items that are illegal, unsafe, or misrepresented.
  • You authorize Tula Web Design LLC to display your menu, name, logo, and location information on the platform for the purpose of accepting orders.
  • You are responsible for correctly configuring sales tax settings for your jurisdiction. We do not provide tax advice.

POS Integrations: If you connect a third-party POS provider (Square, Toast, or Clover), you authorize TogoPlato to exchange menu and order data with that provider using the OAuth credentials you provide. You are responsible for the accuracy of data synced from your POS.

4. Customer Terms

By placing an order on TogoPlato, you agree that:

  • You are placing a binding order with the specific restaurant — not with Tula Web Design LLC.
  • You will provide accurate contact, delivery, and payment information.
  • You understand that order availability, pricing, wait times, and fulfillment are the restaurant's responsibility, not ours.
  • You will not submit fraudulent, abusive, or intentionally incorrect orders.
  • Refunds and cancellations are subject to each restaurant's individual refund policy. Contact the restaurant directly for order disputes.

5. Payments

All payment processing is handled by Stripe. By making a payment through TogoPlato, you agree to Stripe's Terms of Service and Privacy Policy in addition to these Terms.

  • Your payment card details are collected and stored by Stripe. We do not store full card numbers on our servers.
  • Restaurant owners receive payouts through Stripe Connect. By onboarding as a restaurant owner, you agree to Stripe's Connected Account Agreement.
  • Platform subscription fees for restaurant owners are charged in advance on the billing cycle you select. Fees are non-refundable except as stated in our cancellation policy.
  • We display applicable service fees, if any, at checkout before you confirm an order.
  • We are not liable for Stripe processing errors, declined transactions, or chargebacks between customers and restaurant owners.

6. Platform Subscription (Restaurant Owners)

  • Restaurant owner subscriptions are billed on a monthly or annual basis as selected during signup.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time unless required by law.
  • We reserve the right to change subscription pricing with at least 30 days' written notice to the email address on your account.
  • Free trial periods, if offered, convert automatically to a paid subscription at the end of the trial unless cancelled before expiration.

7. Prohibited Conduct

You must not use TogoPlato to:

  • Violate any applicable law or regulation
  • Submit false, fraudulent, or misleading information
  • Impersonate any person, restaurant, or entity
  • Interfere with or disrupt the platform's infrastructure, servers, or network connectivity
  • Attempt to gain unauthorized access to any account, system, or data
  • Scrape, crawl, or extract data from the platform without written permission
  • Use the platform to send unsolicited commercial messages (spam)
  • Engage in any activity that could damage, disable, or impair the platform
  • List or sell alcohol, tobacco, controlled substances, or any product that requires age verification without complying with all applicable laws

8. Intellectual Property

All platform software, design, trademarks, logos, and content created by Tula Web Design LLC are our exclusive property and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the platform for its intended purpose.

Restaurant owners retain ownership of their menu content, logos, and business information. By uploading content to TogoPlato, you grant us a non-exclusive license to display that content to customers for the purpose of facilitating orders.

9. Termination and Suspension

  • We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to the platform or its users.
  • Restaurant owners who fail to pay subscription fees may have their restaurant deactivated after a reasonable grace period and written notice.
  • You may close your account at any time by contacting us at support@togoplato.com or through your account settings.
  • Upon termination, your right to access the platform ceases immediately. Data retention is governed by our Privacy Policy.

10. Disclaimers

The TogoPlato platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Tula Web Design LLC is not responsible for:

  • The accuracy, safety, quality, or legality of menu items listed by restaurant owners
  • A restaurant's failure to fulfill, cancel, or delay an order
  • Disputes between customers and restaurant owners regarding refunds, order accuracy, or food quality
  • Service interruptions caused by third-party providers (Stripe, POS providers, hosting infrastructure)
  • Loss of data due to circumstances beyond our reasonable control

11. Limitation of Liability

To the maximum extent permitted by applicable law, Tula Web Design LLC's total liability to you for any claims arising out of or related to these Terms or the platform shall not exceed the greater of (a) the total fees you paid to us in the three months preceding the claim, or (b) one hundred dollars ($100.00 USD).

In no event shall Tula Web Design LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tula Web Design LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) content you submit to the platform.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the state in which Tula Web Design LLC is registered, without regard to conflict of law provisions. Any dispute arising from or related to these Terms shall first be submitted to good-faith negotiation. If unresolved, disputes shall be resolved through binding arbitration or small claims court, as applicable, in the jurisdiction of Tula Web Design LLC's registered state.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Tula Web Design LLC.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be posted to this page with an updated effective date and, where appropriate, communicated to you by email. Continued use of the platform after changes are posted constitutes your acceptance of the modified Terms.
